Terms & Conditions

  1. You appoint us to act as your Sole Agents for a minimum period of 12 weeks from the date of this agreement, until this agreement is thereafter terminated by either you or us giving the other 14 days written notice.

  2. This Sole Agency agreement means that you will be liable to pay remuneration to us, in addition to any other costs or charges which you have agreed to pay, if at any time unconditional contracts for the purchase of a property are exchanged:-

    1. with a vendor/agent introduced by us during the period of our Sole Agency or with whom we had negotiations about the property during that period or

    2. with a vendor/agent introduced by another agent during that period or

    3. by any other means

We shall be deemed to have introduced a vendor/agent unless you notified us in writing of that particular vendor/agent (as being a potential vendor/agent) before or when you returned to us the countersigned copy of this agreement.
  1. Any retaining fee is non-refundable. In the event that you do not wish to retain our services (but have had a face to face meeting), a fee of £100 will be payable towards travel and expenses for that meeting.

  2. These conditions shall apply to all contracts between us to the exclusion of any other conditions.

  3. Whilst we shall endeavour to adhere to any particulars shown or otherwise presented to you, by us, we reserve the right to make any change in them which does not materially impair function or performance.

  4. Any quotation is based upon current rates for labour and expenses and/or current exchange rates and we reserve the right to increase our charges to reflect any increase in such rates from the date hereof up to the date of completion of the work. Quoted prices are exclusive of VAT and any other duties or tax.

  5. We shall be entitled to exercise a lien over any goods belonging to you in our power, possession, custody or control as security for any charges or other monies due from you to us whether or not invoiced.

  6. Any quotation is valid for period of one month (30 days) only from the date hereof, but it is not an offer and is subject to our receipt and acceptance of your written confirmation.

  7. Subject to any other express provision of these conditions and save for death or personal injury arising from our negligence, we shall not incur any further or consequential liability whether in contract, tort, or under the Estate Agency Act 1987 and whether under statute or common law.

  8. We shall endeavour to meet any deadlines agreed between us but in the event of any delay howsoever caused this order may not be cancelled and we shall not be liable for any loss or damage thereby arising to you.

  9. You shall pay our total charges within 30 days of the date of the invoice and if payment is not made in accordance with the agreed terms we reserve the right to charge interest on the amount for the time being outstanding at the rate of 2% per month as well after as before any judgment.

  10. In the event of your defaulting in or committing any breach of any of your obligations hereunder or your committing any act of bankruptcy, winding up, any composition or arrangement with your creditors, presentation of a petition in respect of any debt which you appear to be unable to pay or have no reasonable prospect of paying, or the appointment of an administrative receiver, administrator or receiver over all or any of your assets then, notwithstanding the credit period referred to in these conditions -- all monies to become due and payable shall be due and payable immediately.

  11. Each of these conditions and each part thereof is separate and severable from any other condition or part thereof and any invalidity, illegality or unenforceability of any condition or part thereof shall not impair the enforceability of any other condition or part thereof.

  12. These conditions are exhaustive and exclude all other representations or warranties express or implied by statute or common law and may only be varied in writing by signed agreement between us.

  13. The commission will be 1.5% of the total purchase price including the purchase price of any fixtures, fittings, plant, equipment, stock and/or goodwill purchased by you as well as the purchase price of the Property. The minimum fee will be £2,500.00 plus vat, duties and all taxes.

  14. We will start to search for your property when you return this signed and dated agreement along with the retaining fee.

  15. Any notice to be served under the terms of this agreement shall be in writing and shall be delivered by hand or sent by pre-paid first class post to the address of the intended recipient appearing at the beginning of this agreement or such other address as that party may have notified from time to time to the other party as being his/her/its address for service.

  16. All obligations given or entered into by more than one person in this agreement are given or entered into jointly and severally.

  17. If you are a limited company then in consideration of us agreeing to enter into this agreement the individual signing this agreement on behalf of that company guarantees to us that the company will observe the terms of this agreement. This guarantee shall not be affected by us giving time or any other indulgence to the company. We may at any time vary the terms of this agreement with the company without the agreement of the individual signing this agreement without affecting this guarantee. No changes in our constitution shall discharge the liability of the individual signing this agreement under the guarantee notwithstanding section 18 of the Partnership Act 1890.

  18. We will attempt to ensure that the information on the website at any time is accurate. However, we will not be held liable for any errors or omissions.
